Zpoto - Brand Partner Onboarding Agreement

1. Parties

This Brand Partner Onboarding Agreement ("Agreement") is made between Zpoto ("Zpoto", "we", "us"), operator of the hyperlocal discovery platform at zpoto.in, and the brand named in the signature block below ("Brand Partner", "you"), effective from the date of signature.

2. Choose your plan

Digital Discovery Rs. 1,500 / 3 months · listing on the Zpoto discovery site · up to 100 offers/month Discovery Presence Rs. 7,500 / 3 months · listing on the Zpoto discovery site · up to 100 offers/month

3. Term & fees

The initial term is three (3) months from the activation date, renewing on the same terms unless either party gives 15 days' written notice before renewal. Fees are payable in advance for each term. Brand Partners may upgrade at any time by paying the balance between plans.

4. What Zpoto provides

A brand page on the Zpoto discovery platform, listing your offer(s) to nearby users.
For Discovery Presence: physical QR placement at the agreed restaurant/tabletop location.
Basic visibility into offer claims (volume claimed, remaining slots) during the active term.

5. What the Brand Partner provides

Accurate brand information, logo, and offer terms, and prompt updates if these change.
Honoring every offer claimed through Zpoto exactly as listed, without added conditions at redemption.
A capped number of offers per the selected plan, refreshed only with Zpoto's agreement.

6. Content & intellectual property

The Brand Partner grants Zpoto a non-exclusive, revocable licence to display its name, logo, and offer content on the Zpoto platform and associated marketing for the duration of this Agreement.

7. Confidentiality

Both parties agree to keep commercial terms of this Agreement confidential, except where disclosure is required by law or necessary to enforce this Agreement.

8. Termination

Either party may terminate this Agreement with 15 days' written notice. Zpoto may suspend or remove a listing immediately if an offer is found to be misleading, fraudulent, or in breach of Section 5.

9. Liability

Zpoto's total liability under this Agreement is limited to the fees paid by the Brand Partner for the then-current term.

10. Governing law

This Agreement is governed by the laws of India, with courts in Kochi, Kerala having exclusive jurisdiction.
